1. Definitions
Customer: any party purchasing Products or Services from Welco Srl; can be a “Consumer” (B2C) or a “Professional/Business” (B2B).
Website: www.rf-microwave.com and its related sub-sections.
Other terms beginning with a capital letter have the meaning attributed to them in these Terms.
2. Scope and Precedence
These Terms govern all current and future sales between Welco Srl ("Welco") and the Customer and prevail over any Customer terms and conditions unless otherwise agreed in writing by the Welco sales manager. Any exceptions are effective only if specifically agreed upon in writing. The Terms also apply to orders received via web, email, or telephone.

4. Orders, Acceptance, and Minimum Orders
Orders can be placed via the Website, email, or telephone. Orders sent outside the Website must include: shipping/billing address, tax data (VAT number, Tax ID and SDI/PEC code), product codes and quantities, payment and shipping method, email/phone contacts. Orders must have a minimum amount (net of taxes and expenses) equal to: €30.00 for individuals/companies without an invoice (fiscal receipt); €60.00 as a minimum billable amount. Welco may refuse or cancel orders, with a refund if already paid. Sales are "subject to prior sale."
5. Prices, Taxes, and Currency
Prices are expressed in Euros (€), net of taxes and expenses, unless otherwise indicated. VAT, duties, and shipping costs are indicated before checkout and calculated at the rates in force at the time of invoicing. If prices are shown in other currencies, the exchange rate is indicative; invoicing is in Euros unless otherwise agreed.
6. Payments
Methods indicated on the Website are accepted (e.g., VISA/VISA Electron/Mastercard/Maestro/AmEx cards, PayPal, SEPA bank transfer; an administrative fee may apply for non-SEPA bank transfers; payment upon collection with cash/check/cards; cash on delivery only in Italy up to €1,000, with a fixed fee). Payments are managed by third-party providers; the order is executed after successful payment. In the absence of payment within 15 days, the order is automatically cancelled.
7. Availability, Fulfillment Times, and Shipments
Products in the catalogue are normally in stock; typical fulfillment is in 2/3 working days from payment. Welco may change the carrier if the chosen method presents objective impossibility (weights/volumes). Shipping options and indicative times are published on the Website and during checkout; any customs delays are not attributable to Welco. Shipping rates are subject to change without notice.
8. Delivery, Incoterms, and Transfer of Risk
Delivery is to the address indicated by the Customer. For international B2B sales, unless otherwise agreed, Incoterms® 2020 DAP (Delivered At Place) applies: import duties/taxes are borne by the Customer; risk passes upon delivery at the place of destination. For collection by the Customer or a carrier designated by them, FCA/EXW applies with risk passing upon delivery to the carrier. For Consumer Customers (EU/UK B2C), the risk passes upon the Consumer or a third party designated by them, other than the carrier, acquiring physical possession of the goods. Optional transport insurance coverage is available upon request during the order phase.
9. Customs Duties and Declarations
For non-EU shipments, customs duties may be requested by the carrier upon delivery and are not included in the shipping costs. It is not possible to indicate values other than the documented values to reduce duties/taxes. The indicated times exclude any customs procedures.
10. Inspection, Transport Damage, and Non-Conformity
Upon delivery, the Customer must verify the integrity of the packaging and the conformity of the supply. In case of visible damage, the Customer can refuse the package or sign with reservation and promptly inform Welco. In case of non-conformity or defects, Welco may, at its option, replace the good or refund the price paid.
11. Refurbished/Used Products
Any refurbished/used products are tested and classified: A+ (as new), A (slight signs), B (signs of wear), C (evident signs), D (poor aesthetic condition). These Terms also apply to such products; for EU Consumers, the specific rules for legal warranty on used goods apply.
12. Warranties
B2B: unless otherwise indicated, 12-month commercial warranty from delivery, limited to repair/replacement of the product or refund of the price at Welco's discretion. Defects resulting from improper use, non-conforming installation, tampering, or unauthorized integrations are excluded.
EU/UK Consumers: the legal guarantee of conformity provided by the applicable legislation remains valid (minimum 2 years for new goods; for used goods, it can be reduced to 1 year where permitted).
Brazil: the minimum terms of the Código de Defesa do Consumidor (30 days non-durable goods; 90 days durable goods) apply.
13. Right of Withdrawal for Consumers (EU/UK)
The Consumer has the right to withdraw within 14 calendar days from possession of the goods, without needing to state a reason, except for legal exceptions (e.g., custom-made or clearly personalised goods). The Consumer communicates withdrawal with an unequivocal statement; a standard form is in Appendix A. Goods must be returned within 14 days; refunds within 14 days from the communication, with the right to withhold the refund until receipt of the goods or proof of shipment. Return costs are borne by the Consumer unless otherwise agreed.
14. Returns/RMA – Addresses and Conditions
To activate a return or an RMA, contact Customer Service (+39 0362 284992 or contact form on the Website) and await written authorisation. Products must be returned preferably in the original packaging, complete and intact, to the address Welco Srl – Via Nazionale dei Giovi 45B, 20811 Cesano Maderno (MB).
15. Limitations of Liability
In B2B relationships, Welco's total liability is limited to the amount paid by the Customer for the product subject to the claim; indirect, consequential damages, loss of profit, plant downtime are excluded, except in cases of willful misconduct or gross negligence. No limitation for damage to life, person, or health to the extent not excludable by law. For B2C, the mandatory protections provided by the applicable local legislation apply.
16. Export Controls, Sanctions, and End-Use
The Customer declares that the Products will not be used, sold, exported, re-exported, transferred, or otherwise made available in violation of EU, US, UK, and other jurisdictions' regulations on export control, dual-use goods, and economic sanctions. The Customer undertakes not to destine the Products to countries, entities, or end-users subject to embargo/sanctions and to obtain any required authorisations. Welco may refuse or cancel orders and suspend deliveries where there are risks of non-compliance.
17. Anti-Corruption and Modern Slavery
The Customer undertakes to comply with applicable laws regarding the prevention of corruption and the reduction of modern slavery/human trafficking and declares to adopt adequate controls along its supply chain.
18. Intellectual Property and Content
Texts, images, graphics, and technical documentation present on the Website are the property of Welco or their respective owners and may only be used for personal purposes; any further use is prohibited without express authorisation. Datasheets and trademarks belong to their respective owners.
19. Privacy and Data Protection
The processing of personal data takes place according to the Privacy Policy available on the Website. The Data Subject may exercise the rights provided by applicable legislation (e.g., GDPR for EU users).
20. Force Majeure
Welco is not liable for delays or non-performance due to force majeure or events beyond its reasonable control (including infrastructure failures, natural events, acts of authorities, conflicts, epidemics, logistical interruptions). In such cases, fulfillment may be postponed or the contract terminated without liability.
21. Changes to the Terms
Welco may modify these Terms; changes will be communicated and will apply from the indicated moment. Continued use of the Website after entry into force implies acceptance. The previous version remains available upon request.
22. Assignment
Welco may assign/transfer the contract or individual rights/obligations with regard to the legitimate interests of the Customer. The Customer may not assign without Welco's written consent.
23. Governing Law, Jurisdiction, and CISG Exclusion
For B2B relationships, these Terms are governed by Italian law, excluding the Vienna Convention on the International Sale of Goods (CISG). Exclusive competent court: Milan, Italy. For Consumers, the rules of the country of residence that provide mandatory levels of protection and the Consumer's court, where applicable, apply.
24. Dispute Resolution, Complaints, and ODR Platform
For any dispute, an attempt at amicable settlement is possible by contacting Welco at the indicated addresses; Welco will respond without undue delay. For EU Consumers, the European platform for online dispute resolution (ODR) is available – see Information on the Website for its operational status and terms of use.
25. Account Registration and Permitted Use of the Website
Account creation is optional; the User is responsible for the custody of credentials and any activity performed with their account. Welco may suspend or cancel accounts for improper use or violation of the Terms. The use of the Website in violation of law, third-party rights, or for activities that may prejudice Welco's legitimate interests is prohibited.
26. Retention of Title
Ownership of the Products is transferred to the Customer only upon full payment of the price. Until that moment, the Products remain the property of Welco.
27. Website Terms of Use and Third-Party Content
Access and use of the Website are subject to these Terms. Any links to external resources are managed by third parties, without control by Welco; therefore, Welco is not responsible for the content or availability of such resources.
28. Reviews and Comments Policy
The review space is intended for opinions on the products/service. Offensive, defamatory, unlawful, or promotional content, as well as requests for support on ongoing orders (for which Customer Service must be contacted), are not permitted. Welco may moderate or remove non-conforming content.
29. Severability Clause
The nullity or ineffectiveness of a clause does not entail the nullity of the remaining clauses. If permitted by law, the invalid clause will be replaced by a legal norm or the version closest to the original purpose.

Appendix B – Summary of Incoterms® 2020 (Informational Extract)
- DAP (Delivered At Place): seller bears costs/risks up to the place of destination, excluding import customs clearance and import duties (borne by the buyer).
- FCA (Free Carrier): risk transferred when the goods are delivered to the carrier indicated by the buyer at the agreed place.
- EXW (Ex Works): maximum responsibility borne by the buyer; collection at the seller's premises.
Appendix C – Information on EU ODR
The EU ODR platform for out-of-court resolution of disputes arising from online contracts has been progressively phased out: it is no longer possible to submit new complaints since March 20, 2025; it can be used until July 19, 2025, for complaints already submitted by March 20, 2025; the phase- out is effective from July 20, 2025, according to Regulation (EU) 2024/3228.
